Terms & Conditions for Digital Marketing Services

1. Services: REFINEDBYSHEM Branding provides website design using the user-friendly platform Wix, digital marketing content creation (including ad templates, email templates, newsletter templates, invitations, announcements, and more), and branded video creation/editing (including short-form content for platforms like YouTube Shorts, TikTok Reels, and Instagram Reels). Clients are responsible for providing clear and concise instructions for each service.

2. Term: The term of the agreement between REFINEDBYSHEM Branding and the client begins on the date of acceptance of the proposal and continues until the completion of the project. The timeline for completion will be specified in the proposal and agreed upon by both parties.

3. Fees: Fees for services will be agreed upon in advance and specified in the proposal. Payment is due upfront for all services. If additional services are requested outside the scope of the original agreement, additional fees will apply and must be approved by the client in writing.

4. Refunds: REFINEDBYSHEM Branding does not offer refunds for completed services. If the client is not satisfied with the completed work, revisions will be made until the client is satisfied.

5. Confidentiality: All information and materials provided by the client will be kept confidential and will not be shared with third parties without the client's permission. Similarly, REFINEDBYSHEM Branding's methods, strategies, and proprietary materials are confidential and may not be shared with third parties without the company's permission.

6. Waiver: If either party fails to enforce any term or condition of this agreement, it does not constitute a waiver of that term or condition and shall not affect the enforceability of any remaining terms or conditions.

7. Dispute Resolution: Any disputes arising from this agreement will be resolved through arbitration in accordance with the laws of the jurisdiction in which the client is located.

8. Attorney's Fees: If either party brings legal action to enforce the terms of this agreement, the prevailing party shall be entitled to reasonable attorney's fees and costs.

9. Damage Limitation: and Liquidated Damages REFINEDBYSHEM Branding's liability for damages arising from this agreement is limited to the fees paid for services. The client agrees that in the event of a breach of this agreement, the liquidated damages shall be limited to the fees paid for services.

10. Nature of Agreement: This agreement constitutes the entire understanding between REFINEDBYSHEM Branding and the client and supersedes all prior agreements, negotiations, and discussions. This agreement may not be modified except in writing and signed by both parties.
